1. Agreement to These Terms

These Terms of Service ("Terms") govern your access to and use of the Naples Haven Watch website, client portal, contact forms, and related online services (collectively, the "Services"). By accessing the site, submitting a form, creating an account, or purchasing a subscription, you agree to these Terms and to our Privacy Policy. If you do not agree, do not use the Services.

2. Description of Services

We offer home watch, concierge coordination, and related property-care services for seasonal and residential properties, primarily in the Naples and Southwest Florida area. The website provides marketing information, quote requests, account login, and—when enabled—online subscription checkout. Actual on-site services may be subject to a separate service agreement, schedule, and pricing confirmation after assessment.

3. Quote Requests and Contact Form

Submitting a contact or quote form is a request for information, not a binding contract for home watch services. You agree to provide accurate contact and property information. We may store your submission, update its status, and notify our team by email (SendGrid and/or Resend) and SMS (Twilio) so we can respond. We may rate-limit submissions to prevent abuse. We are not obligated to accept every request or to respond within a specific time frame, though we aim to reply promptly during normal business operations.

4. Accounts and Better Auth

Certain features require an account created through our authentication system (Better Auth). You agree to:

• Provide accurate registration information and keep it updated
• Keep your password confidential and not share your login credentials
• Notify us promptly of unauthorized use of your account
• Use the client dashboard only for lawful purposes related to your properties and services with us

We may suspend or terminate accounts that violate these Terms, pose a security risk, or are used for fraud or abuse. Admin access is limited to authorized personnel of Naples Haven Watch.

5. Subscriptions and Stripe Payments

When online checkout is enabled, plan purchases and recurring billing are processed by Stripe. By starting a subscription you authorize Stripe to charge the payment method you provide according to the selected plan. Pricing shown on the website is subject to change; the amount charged is the amount confirmed at checkout or in a written service agreement.

• Subscriptions renew automatically until canceled according to the plan rules and Stripe customer tools, or as otherwise agreed in writing.
• Failed payments may result in suspension of service until payment is restored.
• Refunds, if any, are handled case by case or as required by law; contact us to discuss billing issues.
• Tax may apply where required. You are responsible for providing accurate billing information.

Stripe's terms and privacy policy also apply to payment processing. We store subscription status and related identifiers so we can deliver the correct service level; we do not store full card numbers on our servers.

6. Property Information and Client Portal

Property addresses and related details shown in your dashboard are provided for service coordination. You represent that you have authority to request services for those properties. You must not upload or provide information you are not authorized to share. Portal content is for your personal use in connection with our services and may not be scraped, resold, or used to compete with Naples Haven Watch.

7. Acceptable Use

You agree not to:

• Use the Services for any unlawful purpose
• Attempt to gain unauthorized access to accounts, systems, or data
• Interfere with rate limits, security features, or infrastructure
• Submit false, harassing, or spam content through forms or accounts
• Reverse engineer, copy, or misuse the website software except as allowed by law
• Use automated bots to scrape or overload the site without our written permission

8. Infrastructure and Third-Party Processors

The Services depend on third-party infrastructure, including Neon (database), Vercel (hosting and analytics), Upstash (rate limiting), Stripe (payments), SendGrid and Resend (email), Twilio (SMS), and optionally Sentry (error monitoring). Their availability, policies, and outages may affect the Services. We are not liable for third-party failures beyond our reasonable control, though we work to restore service promptly.

9. Intellectual Property

Site content, branding, logos, and software (excluding third-party components) are owned by Naples Haven Watch or its licensors. You may not copy, modify, or distribute our branding or content without prior written permission, except for personal, non-commercial viewing of the public website.

10. Disclaimers

THE WEBSITE AND ONLINE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE." TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE DISCLAIM WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. We do not guarantee uninterrupted access, error-free operation, or that online status displays always reflect the latest on-site conditions. Marketing materials describe typical services; specific visit frequency, scope, and emergency response are defined in your service arrangement.

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, NAPLES HAVEN WATCH AND ITS OWNERS, EMPLOYEES, AND AGENTS WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, DATA, OR BUSINESS OPPORTUNITIES, ARISING FROM YOUR USE OF THE WEBSITE OR ONLINE SERVICES. OUR TOTAL LIABILITY FOR CLAIMS ARISING FROM THE ONLINE SERVICES IN ANY TWELVE-MONTH PERIOD WILL NOT EXCEED THE GREATER OF (A) AMOUNTS YOU PAID US FOR THE ONLINE SUBSCRIPTION IN THAT PERIOD OR (B) ONE HUNDRED U.S. DOLLARS ($100), EXCEPT WHERE LIABILITY CANNOT BE LIMITED BY LAW. Separate limits and insurance terms may apply to contracted on-site home watch services under a written service agreement.

12. Indemnification

You agree to indemnify and hold harmless Naples Haven Watch from claims, damages, and expenses (including reasonable attorneys' fees) arising from your misuse of the Services, your breach of these Terms, or your violation of any law or third-party right.

13. Privacy

How we collect and use personal information is described in our Privacy Policy, which covers contact form data, Better Auth accounts, Stripe subscription data, Neon database storage, Vercel hosting and analytics, SendGrid/Resend/Twilio notifications, and optional Sentry error tracking.

14. Termination

You may stop using the website at any time and may request account closure by contacting us. We may suspend or terminate access for Terms violations, non-payment, security concerns, or discontinuation of the online Services. Provisions that by nature should survive (including intellectual property, disclaimers, limitation of liability, and indemnification) will survive termination.

15. Governing Law and Disputes

These Terms are governed by the laws of the State of Florida, without regard to conflict of law principles. Subject to applicable consumer protections, courts located in Collier County, Florida (or the appropriate Florida federal court) will have exclusive jurisdiction over disputes arising from these Terms or the online Services, unless a written service agreement specifies otherwise for on-site work.

16. Changes to These Terms

We may update these Terms from time to time. The "Last updated" date will be revised when changes are posted. Continued use of the Services after an update constitutes acceptance of the revised Terms. If you do not agree, discontinue use and contact us to close your account if applicable.
